The terms “we,” “us,” and “our” refer to YES BREATHWORKS, LLC and its subsidiaries and affiliates. The term “the Site” refers to www.yesbreathworks.com The terms “user,” “you,” and “your” refer to site visitors, customers, any other users of the site and any of the company’s products, programs or services.

Products, programs and services may include The Yes Breathworks Digital Studio and other services as created.(the “Service”).

Use of the Site, including all materials presented herein and all online services provided by YES BREATHWORKS LLC and its subsidiaries or affiliates are subject to the following Terms and Conditions. By using the Site or Services, you agree to these Terms and Conditions, without modification, and acknowledge reading them.

USE OF THE SITE AND SERVICES

To access or use the Site, you must be 18 years of age or older and have the requisite power and authority to enter into these Terms and Conditions. Children under the age of 18 are prohibited from using the Site. Information provided on the Site and in the Services related to YES BREATHWORKS LLC and its subsidiaries or affiliates and other information are subject to change. YES BREATHWORKS LLC and its subsidiaries or affiliates makes no representation or warranty that the information provided, regardless of its source (the “Content”), is accurate, complete, reliable, current, or error-free. YES BREATHWORKS LLC and its subsidiaries or affiliates disclaim all liability for any inaccuracy, error, or incompleteness in the Content.

ACCOUNT CREATION

To access or use the Site, you must be 18 years of age or older and have the requisite power and authority to enter into these Terms and Conditions. YES BREATHWORKS LLC and its subsidiaries or affiliates disclaim all liability for any inaccuracy, error, or incompleteness in the Content.

LAWFUL PURPOSES

You may use the Site and Services for lawful purposes only. You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You agree to use the Site and to purchase services or products through the Site for legitimate, non-commercial purposes only. You shall not post or transmit through the Site any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable, contains injurious formulas, recipes, or instructions, which encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law.

REFUSAL OF SERVICE

The Services are offered subject to our acceptance of your order or requests. We reserve the right to refuse services to any order, person or entity, without the obligation to assign reason for doing so. No order is deemed accepted by us until payment has been processed and participation accepted. We may at any time change or discontinue any aspect or feature of the Site or Service, subject to us fulfilling our previous responsibilities to you based on acceptance of your payment.

We will email you to confirm the placement of your order and with details concerning product delivery. In the event that there is an error in this email confirmation, it is your responsibility to inform us as soon as possible.

By Purchasing any of the below products, you agree with the following:

CANCELLATIONS, REFUNDS & RETURNS

YES BREATHWORKS DIGITAL STUDIO SUBSCRIPTION(S)

Your Yes Breathworks Digital Studio membership, which may or may not start with a free trial, will continue month-to-month or annually unless and until you cancel your membership or we terminate it. You must have Internet access and provide us with a current, valid, accepted method of payment to use the YES BREATHWORKS Digital Studio service. We will bill the monthly membership fee to the payment method used when signing up unless updated or changed by you. In order to avoid billing of the next month’s membership fees to your Payment Method, you must cancel your membership before it renews each month or we will process the payment.

Monthly Subscriptions: If you enroll in the YES BREATHWORKS Digital Studio on said date, you will be billed on the same date of each month. You may cancel at any time, where at that time your account and access to the YES BREATHWORKS Digital Studio membership will be revoked. NO prorated refund will be given for any unused portion of the remaining month.

Yearly Subscriptions: For yearly subscription purchases, you will be billed annually on the date of your original purchase. If you decide to no longer actively participate in the YES BREATHWORKS Digital Studio, NO prorated refund will be given for any unused portion of the remaining year.

YES BREATHWORKS INTRO TO BREATHWORK MASTERCLASS

NO refund will be given for the Yes Breathworks Intro to Breathwork Masterclass.

PRODUCT DESCRIPTION

We endeavor to describe and display the Service as accurately as possible. While we try to be as clear as possible in explaining the Service, please do not accept that the Site is entirely accurate, current, or error-free. From time to time we may correct errors in pricing and descriptions. We reserve the right to refuse or cancel any order with an incorrect price listing.

MATERIAL YOU SUBMIT TO THE SITE

You shall not upload, post or otherwise make available on the Site any artwork, photos, or other materials (collectively “Materials”) protected by copyright, trademark, or other proprietary right without the express written permission of the owner of the copyright, trademark, or other proprietary right, and the burden of determining that any Materials are not so protected rests entirely with you. You shall be liable for any damage resulting from any infringement of copyrights, trademarks, or other proprietary rights, or any other harm resulting from such a submission. For all Materials submitted by you to the Site, you automatically represent or warrant that you have the authority to use and distribute the Materials, and that the use or display of the Materials will not violate any laws, rules, regulations, or rights of third parties.

INTELLECTUAL PROPERTY RIGHTS TO YOUR MATERIALS

We claim no intellectual property rights over the material you supply to YES BREATHWORKS LLC and its subsidiaries or affiliates. You retain copyright and any other rights you may rightfully hold in any content that you submit through the Site or Service. Content you submit to YES BREATHWORKS LLC and its subsidiaries or affiliates remains yours to the extent that you have any legal claims therein. You agree to hold YES BREATHWORKS LLC and its subsidiaries or affiliates harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you. By posting material on the Site, you grant us a worldwide, nonexclusive, irrevocable license to use the material for promotional, business development, and marketing purposes.

OUR INTELLECTUAL PROPERTY

The Site and Services contain intellectual property owned by YES BREATHWORKS LLC and its subsidiaries or affiliates, including trademarks, copyrights, proprietary information, and other intellectual property. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the Site or Service

Content or intellectual property, in whole or in part, without our prior written consent. We reserve the right to immediately remove you from the Service, without refund, if you are caught violating this intellectual property policy.

CHANGED TERMS

We may at any time amend these Terms and Conditions. Such amendments are effective immediately upon notice to you by us posting the new Terms and Conditions on this Site. Any use of the Site or Service by you after being notified means you accept these amendments. We reserve the right to update any portion of our Site and Service, including these Terms and Conditions, at any time. We will post the most recent versions to the Site and list the effective dates on the pages of our Terms and Conditions.

LIMITATION OF LIABILITY

YOU AGREE THAT UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR ANY OTHER DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR SERVICE. ADDITIONALLY, YES BREATHWORKS LLC AND ITS SUBSIDIARIES OR AFFILIATES IS NOT LIABLE FOR DAMAGES IN CONNECTION WITH (I) ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, DENIAL OF SERVICE, ATTACK, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, OR LINE OR SYSTEM FAILURE; (II) LOSS OF REVENUE, ANTICIPATED PROFITS, BUSINESS, SAVINGS, GOODWILL OR DATA; AND (III) THIRD PARTY THEFT OF, DESTRUCTION OF, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF YOUR INFORMATION OR PROPERTY, REGARDLESS OF OUR NEGLIGENCE, GROSS NEGLIGENCE, FAILURE OF AN ESSENTIAL PURPOSE AND WHETHER SUCH LIABILITY ARISES IN NEGLIGENCE, CONTRACT, TORT, OR ANY OTHER THEORY OF LEGAL LIABILITY. THE FOREGOING APPLIES EVEN IF YES BREATHWORKS LLC AND ITS SUBSIDIARIES OR AFFILIATES HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN THE DAMAGES. IN THOSE STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR THE DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL YES BREATHWORKS LLC AND ITS SUBSIDIARIES OR AFFILIATES’S CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL PURCHASE PRICE OF THE SERVICES YOU HAVE PURCHASED FROM YES BREATHWORKS LLC AND ITS SUBSIDIARIES OR AFFILIATES, AND IF NO PURCHASE HAS BEEN MADE BY YOU YES BREATHWORKS LLC AND ITS SUBSIDIARIES OR AFFILIATES’S CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED $100.

THIRD PARTY RESOURCES

The Site and the Service contain links to third party websites and resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content, or policies of third party websites or resources. Links to such websites or resources do not imply any endorsement by or affiliation with YES BREATHWORKS LLC and its subsidiaries or affiliates. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

INDEMNIFICATION

You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third party claims and causes of action, including, without limitation, attorney’s fees, arising out of any breach by you of any of these Terms and Conditions, or any use by you of the Site or Service. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records, and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defense without our prior written consent.

EFFECT OF HEADINGS

The subject headings of the paragraphs and subparagraphs of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.

ENTIRE AGREEMENT; WAIVER

This Agreement constitutes the entire agreement between you and YES BREATHWORKS LLC and its subsidiaries or affiliates pertaining to the Site and Services and supersedes all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of this Agreement by YES BREATHWORKS LLC and its subsidiaries or affiliates shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by YES BREATHWORKS LLC and its subsidiaries or affiliates.

All notices, requests, demands, and other communications under this Agreement shall be in email and properly addressed as follows:

GOVERNING LAW; VENUE; MEDIATION

This Agreement shall be construed in accordance with, and governed by, the laws of the State of California as applied to contracts that are executed and performed entirely in California. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Los Angeles County, California. The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement by mediation, which shall be conducted under the then current mediation procedures of The CPR Institute for Conflict Prevention & Resolution or any other procedure upon which the parties may agree. The parties further agree that their respective good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration, or other dispute resolution procedures.

RECOVERY OF LITIGATION EXPENSES

If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.

SEVERABILITY

If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

ASSIGNMENT

These Terms and Conditions bind and apply to the benefit of the parties’ successors and assigns. These Terms and Conditions are not assignable, delegable, sub-licenseable, or otherwise transferable by you. Any transfer, assignment, delegation, or sublicense by you is invalid.

Privacy Policy

YES BREATHWORKS, LLC  (the “Company”) respects the privacy concerns of the users of its website, www.yesbreathworks.com and the services provided therein (the “Site”). The Company thus provides this privacy statement to explain what information is gathered during a visit to the Site and how such information may be used.

Your use of the Company’s services and this site are also governed by those of YES BREATHWORKS, LLC, a California limited liability company. Please also review the Yes Breathworks, LLC website Terms of Use at and Privacy Policy [www.yesbreathworks.com] which also govern use of this Site.

Use of Information: As a general policy, no personally identifiable information, such as your name, address, or e-mail address, is automatically collected from your visit to the Site. However, certain non-personal information is recorded by the standard operation of the Company’s internet servers. The Site’s various mailing lists, downloads, special offers, contests, registration forms, and surveys may request that you give us contact information such as your name, mailing and/or e-mail address, demographic information such as your age and gender, and personal preference information such as your preferred software and interests. Please also note that third-parties who provide and/or publish content via the Company’s Yes Breathworks, LLC Service shall be deemed the data controllers for any personal data contained in the content uploaded by any such party to the Company’s Yes Breathworks, LLC Service (“Third-Party Content”) and any other personal data processed in relation to such Third-Party Content. This privacy policy only concerns the processing for which the Company is a data controller. If you have any questions regarding personal data contained in the Third-Party Content, please contact the third-party provider responsible for such Third Party Content.

Children Age 17 and Under: The Company recognizes the special obligation to protect personally identifiable information obtained from children age 17 and under. AS SUCH, IF YOU ARE 17 YEARS OLD OR YOUNGER, THE COMPANY REQUESTS THAT YOU NOT SUBMIT ANY PERSONAL INFORMATION TO THE SITE OR TO THE COMPANY. If the Company discovers that a child age 16 or younger has signed up on the Site or provided us with personally identifiable information, we will delete that child’s identifiable information from our records.

Yes Breathworks nonetheless encourages parents to go online with their kids. Here are a few tips to help make a child’s online experience safer:

Chat Areas: Guests of the Site are solely responsible for the content of messages they post on the Company’s forums, such as chat rooms and bulletin boards. Security/How Your Personally Identifiable Information Is Protected: Security for all personally identifiable information is extremely important to us. Release of Liability 

In consideration of being allowed to participate in any way in the Breathwork Sessions and its related events and [Yes Breathworks LLC] activities, I,

1. The risk of injury from the activities involved in these breathwork sessions is significant, including the potential for permanent paralysis and death, and while particular skills, equipment, and personal discipline may reduce this risk, the risk of serious injury does exist; and,

2. I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, both known and unknown, EVEN IF ARISING FROM THE NEGLIGENCE OF THE RELEASEES or others, and assume full responsibility for my participation; and,

3. I willingly agree to comply with the stated and customary terms and conditions for participation. If, however, I observe any unusual significant hazard during my presence or participation, I will remove myself from participation and bring such to the attention of the Company immediately; and

4. I, for myself and on behalf of my heirs, assigns, personal representatives and next of kin, hereby release, indemnify, and hold harmless _______________________________________________, [Yes Breathworks LLC] their officers, officials, agents and/or employees, other participants, sponsoring agencies, sponsors, advertisers, and, if applicable, owners and lessors of premises used for the activity (“Releasees”), with respect to ANY AND ALL injury, disability, death, or loss or damage to person or property, whether arising from the negligence of the releases or otherwise, to the fullest extent permitted by law.

5. I understand that breathwork is not a substitute for counseling, psychotherapy, psychoanalysis, mental health care or substance abuse treatment, and I will not use it in place of any form of therapy. I recognize that breathwork requires emotional, physical, and mental effort, exertion, and behavioral experimentation, on my part, which may cause physical, mental or emotional injury. I fully acknowledge and take full responsibility for all the risks involved. I understand that it is my responsibility to consult with my health care provider prior to participating in the session(s).

I agree that the purpose of this agreement is that it shall be an enforceable RELEASE OF LIABILITY AND INDEMNITY as broad and inclusive as is permitted by California law. I agree that if any portion or provision of this agreement is found to be invalid or unenforceable, then the remainder will continue in full force and effect. I also agree that any invalid provision will be modified or partially enforced to the maximum extent permitted by law to carry out the purpose of the agreement.

I understand that this is a contract that affects my legal rights, and I have read and understood this form and all its contents, and I voluntarily agree to the terms and conditions stated above.

Medical waiver 

Breathwork may not be for you if you have the following conditions:

Cardiovascular problems

High or abnormal blood pressure

History of aneurysms

Epilepsy or history of seizures

Anyone on heavy medication

Severe psychiatric symptoms, particularly psychosis or paranoia

Bipolar depression

Osteoporosis

Recent surgery

Glaucoma

Pregnancy

An active addiction

Any person with mental illness who isn’t in treatment or lacks adequate support

Anyone experiencing an emotional or spiritual crisis

This list is not all inclusive and we generally recommend if you have a question about a condition you may have that is not listed, that you consult a physician before beginning breathwork.
